These Terms & Conditions (“Terms”) govern your access to and use of the GrowthBizo website, applications and services (the “Service”) provided by GrowthBizo (“GrowthBizo”, “we”, “us” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility & Accounts
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential.
- You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use.
- If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. The Service
GrowthBizo provides a multi-channel marketing platform that lets you create, schedule, send and measure campaigns across Social Media, Email, SMS, WhatsApp and Display Ads. We may add, change or remove features over time. Some channels depend on third-party providers and are subject to their availability and policies.
3. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam) or message recipients without a lawful basis or valid consent.
- Violate any anti-spam, telecom (including DLT/TRAI), data protection or other applicable law.
- Transmit unlawful, defamatory, obscene, infringing, fraudulent or misleading content.
- Distribute malware or attempt to gain unauthorised access to the Service or other accounts.
- Interfere with, disrupt, or place undue load on the Service or its infrastructure.
- Resell or sublicense the Service without our written permission.
We may suspend or terminate accounts that violate this section or that create legal or security risk for us, our partners or other users.
4. Your Content & Consent Obligations
You retain ownership of the content, creatives and contact data you upload (“Your Content”). You grant us a limited licence to host, process and transmit Your Content solely to provide the Service. You represent and warrant that you have all rights and consents required to upload Your Content and to send messages to your recipients, and that you will honour opt-out and unsubscribe requests as required by law.
5. Third-Party Services
The Service integrates with third-party providers such as messaging and telecom gateways, the Meta WhatsApp Business and Graph APIs, email and ad networks, and Razorpay for payments. Your use of those integrations may be subject to the third party’s terms, and we are not responsible for their acts, omissions or availability.
6. Plans, Fees & Billing
- Paid plans are billed in advance on a recurring basis (for example, monthly) through our payment processor. Usage-based charges may apply to certain channels.
- Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
- Subscriptions renew automatically until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period.
- Except where required by law, fees already paid are non-refundable. See Section 7.
7. Refunds
Refunds, where offered, are handled at our discretion or as required by applicable consumer law and are processed through the original payment method. Charges consumed by third-party channel providers (for example, SMS or ad spend already dispatched) are generally non-refundable.
8. Intellectual Property
The Service, including its software, design, trademarks and content (excluding Your Content), is owned by GrowthBizo or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer or create derivative works except as permitted by law.
9. Suspension & Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if required for legal, security or operational reasons. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including ownership, disclaimers, limitations of liability and indemnity) will survive.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that messages will be delivered by third-party channels.
11. Limitation of Liability
To the maximum extent permitted by law, GrowthBizo and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless GrowthBizo and its affiliates from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your campaigns, or your violation of these Terms or applicable law.
13. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. The courts located in India will have exclusive jurisdiction over any disputes, unless mandatory local law provides otherwise.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where required, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
